If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 26 - SURVIVAL

The following sections shall survive any termination or expiration of these Terms of Service: Section 4 (Intellectual Property Rights), Section 8 (Product Warranties - limitations on liability), Section 9 (Return Policy - payment obligations), Section 13 (Billing and Account Information - payment obligations), Section 16 (User Comments - license grants), Section 21 (Disclaimer of Warranties; Limitation of Liability), Section 23 (Indemnification), Section 27 (Governing Law), Section 28 (Arbitration and Dispute Resolution), and any other provisions that by their nature should reasonably survive termination.

This means that even after you stop using our services or we terminate your access, you are still bound by these specific obligations, and we retain the protections these sections provide.

SECTION 27 - ENTIRE AGREEMENT

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any legal action or proceeding arising under these Terms of Service will be brought exclusively in the federal or state courts located in San Diego County, California, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

SECTION 29 - FORCE MAJEURE

San Diego Car Stereo shall not be held responsible for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

Acts of God, natural disasters, earthquakes, floods, fires, or severe weather conditions
Pandemics, epidemics, or public health emergencies
War, terrorism, civil unrest, or riot
Labor disputes, strikes, or lockouts
Governmental actions, laws, regulations, or orders
Power outages, telecommunications failures, or internet disruptions
Supply chain disruptions, including manufacturer delays or product shortages
Shipping carrier delays, transportation disruptions, or port closures
Supplier failures or inability to obtain raw materials or components
Cyberattacks, hacking, or other security breaches beyond our control

During a force majeure event, our obligations under these Terms of Service will be suspended for the duration of the event. We will make reasonable efforts to notify customers of significant delays and to resume normal operations as soon as possible. If a force majeure event continues for more than 60 days, either party may terminate affected orders without liability.

SECTION 30 - ARBITRATION AND DISPUTE RESOLUTION

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Service, your use of the website, or any products or services purchased from San Diego Car Stereo (collectively, "Disputes"), the parties agree to attempt to resolve the Dispute through the following process:

Informal Negotiation: Before initiating arbitration, you agree to first contact us at support@sdcarstereo.com to attempt to resolve the Dispute informally. We will attempt to resolve the Dispute through good faith negotiations for a period of 30 days. If the Dispute is not resolved within 30 days, either party may proceed to binding arbitration.

Binding Arbitration: If informal negotiation does not resolve the Dispute, you and San Diego Car Stereo agree that the Dispute shall be resolved by binding arbitration conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules.

Arbitration Location and Governing Rules:

The arbitration shall take place in San Diego, California
The arbitration will be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16
The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction

Costs and Fees: Each party shall bear their own costs and attorneys' fees, unless the arbitrator determines otherwise based on applicable law. The AAA's rules govern payment of all arbitration fees.

Class Action Waiver: YOU AND SAN DIEGO CAR STEREO AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. You waive the right to participate in a class action, class arbitration, or other collective legal proceeding against San Diego Car Stereo.

Exceptions to Arbitration: Notwithstanding the above, either party may:

Bring an individual action in small claims court if the claim qualifies
Seek injunctive or equitable relief in court to protect intellectual property rights
Pursue claims that cannot be arbitrated as a matter of law

Opt-Out Right: You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms of Service by sending written notice to support@sdcarstereo.com with the subject line "Arbitration Opt-Out" and including your name, address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and San Diego Car Stereo will resolve Disputes through court litigation.
